Terms of Use

These Terms of Use ("Terms") govern your use of techbridge.dev, the TechBridge Platform, and any other product or service offered by TechBridge Digital LLC ("TechBridge," "we," "us"). By using our services you agree to these Terms.

1. Services we offer

TechBridge offers, as documented on the public site:

• Productized services, SEO retainers, AI Automation Builds, and Consulting engagements at the published prices.
• Platform, a SaaS CRM with AI follow-up, booking, and payments at published monthly tiers.
• Products, OpenClaw and Detailers360, currently in early access / waitlist.

Each engagement may be governed by a separate Statement of Work or order form that controls in case of conflict with these Terms.

2. Eligibility

You must be at least 18 years old and authorized to bind your business to these Terms. The services are intended for US-based service businesses; access from other jurisdictions is at your own risk.

3. Accounts

You are responsible for safeguarding account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend accounts that violate these Terms.

4. Fees and payment

• Productized services are billed at the prices published on the relevant service page or written into the SOW. Retainers bill monthly in advance; fixed-scope builds bill 50% on signing and 50% on handoff.
• Platform subscriptions bill monthly via Stripe. Plans renew automatically until cancelled.
• Refunds follow the policy on each service’s page. In summary: SEO retainers cancel with 30 days’ notice and don’t refund the current month; Automation Build deposits become non-refundable once the SOW is signed; Platform subscriptions cancel any time and don’t refund partial months.
• Late payments may incur 1.5%/month interest where permitted.

5. Acceptable use

You agree not to:

• Use the services for unlawful or fraudulent purposes.
• Resell, sublicense, or expose the services as your own without a written reseller agreement.
• Attempt to interfere with security, scrape at volume, or reverse-engineer the Platform.
• Send spam, deceptive content, or content that violates third-party rights via our services.

6. Intellectual property

We retain ownership of the Platform, our products, the marketing site, and all related software. You retain ownership of content you provide to us (logos, copy, customer data). For productized services, the deliverables, SEO content, automation flows, CRM configurations - become yours upon final payment, subject to any third-party tool licensing.

7. Confidentiality

Each party agrees to keep the other’s non-public information confidential and use it only to perform under these Terms or any SOW. This survives termination.

8. Disclaimers

Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific SEO rankings, traffic, or revenue outcomes.

9. Limitation of liability

To the maximum extent permitted by law, TechBridge’s total liability for any claim arising out of these Terms or use of the services is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

10. Indemnification

You agree to indemnify TechBridge against claims arising out of (a) your breach of these Terms, (b) your use of the services in violation of law, and (c) third-party content you provide that infringes their rights.

11. Termination

Either party may terminate an engagement under the cancellation terms of the relevant service page or SOW. We may suspend or terminate accounts immediately for material breach (non-payment, abuse, illegal use). Upon termination, your right to use the services ends; provisions of these Terms that should reasonably survive will survive.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, excluding conflict-of-law rules. Disputes will be resolved in state or federal courts located in Virginia, except where applicable law requires otherwise.

13. Changes

We may update these Terms. We’ll revise the effective date at the top and, for material changes, notify customers via email or in-app notification. Continued use after changes constitutes acceptance.
