Terms of Use

Effective July 6, 2026

These Terms of Use ("Terms") govern your use of techbridge.dev, the TechBridge Platform, and any other product or service offered by TechBridge Digital LLC ("TechBridge," "we," "us"). By using our services you agree to these Terms.

1. Services we offer

TechBridge sells exactly two things, at the prices published on the site:

  • Agentic Websites, a website we build and host with an AI employee behind it, sold as a one-time build fee plus a monthly subscription, in three editions:
    • Detailer Edition (Detailing, PPF, tint & ceramic-coating shops): $750 build + $250 / mo.
    • Crew Edition (Service businesses under ~$750K/yr): $1,500 build + $300 / mo.
    • Market Leader Edition (Plumbers & home-services companies doing $750K+/yr): $2,500 build + $500 / mo.
  • The TechBridge Platform, a monthly subscription that runs an AI marketing agent behind a human approval queue, at the tiers published on the platform page (from $200/mo, or yearly with two months free). The Platform is in early access; onboarding runs in cohorts.

Each website engagement is also governed by a build agreement that carries these definitions verbatim and controls in case of conflict with these Terms.

2. Eligibility

You must be at least 18 years old and authorized to bind your business to these Terms. The services are intended for US-based service businesses; access from other jurisdictions is at your own risk.

3. Accounts

You are responsible for safeguarding account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend accounts that violate these Terms.

4. Fees and payment

  • Website build fees are due at kickoff. Crew Edition build fees may be split into a payment plan of 3 × $500 across your first three months; a missed installment pauses the build clock.
  • Website monthlies bill via Stripe and are month-to-month after launch. Cancel anytime, effective at the end of the current billing period. There is no long-term contract.
  • Platform subscriptions bill monthly or yearly via Stripe and renew automatically until cancelled.
  • Website annual billing exists only as a conversion within 90 days of launch. See section 6. There is no annual website purchase at kickoff.
  • Late payments may incur 1.5%/month interest where permitted.

5. Guarantees

These are the guarantees we publish, in full. The refund rules in sections 5–6 are the complete story. You will never find a worse term in a contract than on a page.

The Launch Guarantee (websites)

"Live in 21 days from kickoff, or your build fee back. Detailer Edition: 14 days."

Kickoff means the date on which you have provided domain and hosting access and approved the content plan (for the Detailer Edition: assets received and the questionnaire complete), as recorded in the build agreement. The guarantee triggers on TechBridge missing the launch date. It is not a satisfaction guarantee. The refund is your build fee: on a payment plan, invoking the Launch Guarantee refunds every installment paid to date and cancels the remaining installments. A missed installment pauses the build clock.

The Ownership Guarantee (websites)

"Your domain, your content, your code. Full export anytime once your build fee has cleared. No contracts, no buyouts."

Export means a complete copy of your site: domain control, content, and code. On a build-fee payment plan, export rights unlock when the final installment clears. Cancelling your website monthly never forfeits the export. See section 8.

30-day money-back (platform)

"Standalone platform subscriptions: full refund of your first payment within 30 days, monthly or annual."

This applies to the first payment of any standalone platform subscription, monthly or annual, refunded in full if you cancel within 30 days of that payment. It does not apply to website-attached subscriptions (the website editions carry the Launch and Ownership Guarantees instead), and it does not apply to renewal payments.

We do not guarantee search-engine rankings, traffic, or revenue outcomes. Anyone who does is selling you something other than the work.

6. Website annual conversion and its refund formula

Within 90 days of launch you may convert a website monthly to annual billing at ten times the monthly price (two months free). At conversion, a credit for the build fee you have actually paid is applied: $375 on Detailer Edition (annual $2,500/yr); $750 on Crew Edition (annual $3,000/yr); $2,500 on Market Leader Edition (annual $5,000/yr). The credit never exceeds the build-fee cash we have received; conversion requires the build fee paid in full, so remaining installments accelerate at conversion.

Annual website billing carries a 30-day out from the conversion date. The refund formula, pinned:

refund = (unused months × annual price ÷ 12, prorated to the day) − (build-fee credit applied), capped at the amount actually paid at conversion.

Worked example: a Crew Edition client converts on day 89, paying $3,000$750 build-fee credit = $2,250. They cancel 30 days later with 11 unused months. Refund = 11 × $250 $750 = $2,000, which is within the $2,250 cap.

7. Site care: what a "change" is and what it costs

Agent-proposed changes that go through your review queue are unlimited and free. That is the product. Separately, each edition includes human-requested changes and care time:

  • Detailer Edition: 1 human-requested change a month included; agent updates through your review queue are unlimited.
  • Crew Edition: 2 human-requested changes + 1 care-hour a month included.
  • Market Leader Edition: 4 human-requested changes + 2 care-hours a month included.

A change is one page-level edit request taking up to 30 minutes. Beyond the included allotment, additional human-requested changes are $150 per change and additional care time is $95 per hour. Overages are quoted before the work, never after.

8. Cancellation, keep-the-lights-on, and export

  • Everything is month-to-month. Cancel any website monthly or platform subscription at any time; cancellation takes effect at the end of the current billing period. Partial months are not refunded except where sections 5–6 say otherwise.
  • Keep-the-lights-on ($100/mo). After 6 paid months on a website edition monthly (counted from launch), the cancellation flow offers a hosting-only option: your site and booking stay live, with hosting and security only: no agent, no care. It is offered only at cancellation, not sold separately.
  • Before month 6, cancelling a website monthly means a full export under the Ownership Guarantee, or staying on the edition monthly.

9. Build slots and slot deposits

Build capacity is limited and published on the site as monthly slots. When a month's slots are full, we may take a refundable $500 slot deposit to hold your place in the queue. The deposit is applied as a credit against your build fee at kickoff and is refunded if you withdraw before kickoff.

10. Fair use (Market Leader)

The Market Leader platform tier and the Market Leader Edition monthly include effectively unlimited agent usage for one location, subject to fair use. Usage is metered internally. Approaching the internal monthly allotment, the agent queues additional work and notifies you. We never hard-stop a Market Leader subscription mid-month. Two consecutive months above 80% of the allotment triggers a review with you; sustained usage above roughly 500,000 metered credits in a month is outside fair use and may lead to a custom quote.

11. Acceptable use

You agree not to:

  • Use the services for unlawful or fraudulent purposes.
  • Resell, sublicense, or expose the services as your own without a written reseller agreement.
  • Attempt to interfere with security, scrape at volume, or reverse-engineer the Platform.
  • Send spam, deceptive content, or content that violates third-party rights via our services.

12. Intellectual property

We retain ownership of the Platform, the OpenClaw agent engine, the marketing site, and all related software. You retain ownership of content you provide to us (logos, copy, customer data). For Agentic Websites, the Ownership Guarantee applies: your domain, your content, your code, with full export rights as described in section 5, subject to any third-party tool licensing.

13. Confidentiality

Each party agrees to keep the other’s non-public information confidential and use it only to perform under these Terms or any build agreement. This survives termination.

14. Disclaimers

Except for the guarantees expressly stated in sections 5–6, services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific search-engine rankings, traffic, or revenue outcomes.

15. Limitation of liability

To the maximum extent permitted by law, TechBridge’s total liability for any claim arising out of these Terms or use of the services is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

16. Indemnification

You agree to indemnify TechBridge against claims arising out of (a) your breach of these Terms, (b) your use of the services in violation of law, and (c) third-party content you provide that infringes their rights.

17. Termination

Either party may end an engagement under the cancellation terms in section 8 or the build agreement. We may suspend or terminate accounts immediately for material breach (non-payment, abuse, illegal use). Upon termination, your right to use the services ends. Your export rights under the Ownership Guarantee survive. Provisions of these Terms that should reasonably survive will survive.

18. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, excluding conflict-of-law rules. Disputes will be resolved in state or federal courts located in Virginia, except where applicable law requires otherwise.

19. Changes

We may update these Terms. We’ll revise the effective date at the top and, for material changes, notify customers via email or in-app notification. Continued use after changes constitutes acceptance.
